These Terms of Service (“Terms”, “Terms of Service”, or “Agreement”) govern your access to and use of the Risho Digitech website, services, products, communications, and related business services.

By accessing our website, submitting an enquiry, purchasing a service, signing a proposal or quotation, making a payment, or otherwise engaging Risho Digitech for services, you acknowledge that you have read, understood, and agreed to these Terms.

2. Acceptance of Terms

By using our website or purchasing our services, you agree to:

  • Make payments according to agreed terms
  • Cooperate reasonably with our team

The specific document applicable to your project will determine the exact deliverables, timelines, fees, revisions, responsibilities, and other project-specific terms. If there is a conflict between these Terms and a separately signed written agreement, the signed agreement will generally govern the specific matter addressed in that agreement.

5. Service Scope

Services are provided according to the agreed scope. Any work that is outside the agreed scope may require: additional charges, additional development time, a revised quotation, or written approval.

Examples of potentially additional work include: additional website pages, additional features, additional revisions, new integrations, additional keywords, additional advertising campaigns, additional creative designs, additional content, additional development requirements, or changes to previously approved functionality. We will make reasonable efforts to communicate additional requirements and associated costs before performing substantial out-of-scope work.

6. Client Responsibilities

Clients are responsible for providing accurate and timely information required to perform the services. Depending on the project, the client may need to provide: business information, website access, hosting access, domain access, CMS access, Google Business Profile access, Google Ads access, Meta Business Manager access, social media access, brand assets, logos, images, content, product information, legal information, required approvals, and API credentials or integrations where applicable.

The client is responsible for ensuring that information and materials supplied to Risho Digitech are accurate and lawful.

Section 7

7. Client Delays

Project timelines may be affected if the client does not provide required information, approvals, access, content, feedback, or payments on time. If a project is delayed because of client-side dependencies, the original delivery timeline may need to be adjusted.

Risho Digitech is not responsible for delays caused by: late client responses, missing information, delayed approvals, delayed payments, hosting problems, domain issues, third-party platform problems, third-party service outages, changes requested by the client, or events outside our reasonable control.

Section 8

8. SEO Services

SEO services may include: keyword research, competitor research, on-page SEO, technical SEO, content optimization, internal linking, off-page SEO, link building, local SEO, Google Business Profile optimization, citation building, SEO reporting, and other agreed SEO activities.

SEO is affected by many factors outside our control, including search engine algorithms, competition, website history, technical conditions, content quality, backlinks, market conditions, and user behavior.

No Guaranteed Rankings:

Unless expressly stated in a separate written agreement and legally permissible, Risho Digitech does not guarantee:

  • #1 Google rankings
  • Specific keyword rankings
  • Specific traffic levels
  • Specific lead volumes
  • Specific revenue
  • Specific conversion rates
  • Specific Google Maps positions
  • A fixed SEO timeline

Any estimated SEO timeline is an estimate and not a guarantee.

Section 9

9. Search Engine and Platform Changes

Search engines and online platforms may change their algorithms, policies, ranking systems, advertising policies, APIs, technical requirements, features, or eligibility requirements. Such changes may affect SEO rankings, traffic, advertisements, website functionality, or other digital performance. Risho Digitech will make reasonable efforts to adapt strategies where appropriate but cannot guarantee that third-party changes will not affect results.

Section 10

10. Paid Advertising Services

Where we manage advertising campaigns (Google Ads, Meta Ads, Instagram Ads, Facebook Ads, YouTube Ads, LinkedIn Ads, or other agreed platforms): advertising management fees are separate from advertising spend unless expressly stated otherwise. The client's advertising budget is generally paid to the applicable advertising platform or otherwise handled according to the agreed payment arrangement.

Risho Digitech does not guarantee: a specific number of leads, a specific cost per lead, a specific return on advertising spend, a specific number of sales, approval of advertisements, or continued availability of an advertising account. Advertising platforms may reject, restrict, suspend, or modify campaigns according to their own policies.

Section 11

11. Social Media Services

Social media services may include: content planning, post creation, creative design, captions, publishing, account management, social media strategy, and performance reporting. Results may depend on platform algorithms, audience behavior, content quality, account history, engagement, competition, and other factors. We do not guarantee specific follower counts, engagement rates, reach, leads, or sales unless specifically agreed in writing.

12. Website Design & Development

Website development services may include: UI/UX design, business websites, corporate websites, landing pages, WordPress websites, e-commerce websites, custom websites, CMS development, API integration, payment integration, third-party integrations, and website maintenance. The exact functionality will depend on the agreed project scope. Features not included in the approved scope may require additional charges.

Section 13

13. Website Content and Client Materials

The client is responsible for providing materials that they own or have permission to use (text, logos, images, videos, product information, brand assets, testimonials, documents, or other intellectual property). The client represents that they have the necessary rights, permissions, licenses, or authorizations to provide such materials. Risho Digitech is not responsible for claims arising from materials supplied by the client where the client did not have appropriate rights to use them.

Section 14

14. Mobile App Development

App development may include: Android applications, iOS applications, cross-platform applications, Flutter applications, APIs, backend systems, admin panels, notifications, payment integration, authentication, and other agreed features. App store approval is controlled by Apple, Google, or the relevant platform. Risho Digitech cannot guarantee that an application will be approved by an app store. Changes to app-store policies may require modifications to the application.

15. Software Development

Custom software development may include: CRM, ERP, business dashboards, inventory systems, billing systems, customer management systems, employee management systems, SaaS applications, web applications, APIs, automation systems, and custom business software. The exact functionality will be determined by the approved project scope. Additional functionality requested after approval may require additional fees and development time.

Section 16

16. Project Timelines

Estimated timelines are provided based on the information and requirements available at the time of estimation. Timelines may change due to: scope changes, client delays, technical complexity, third-party integrations, hosting issues, API limitations, platform restrictions, approval delays, unforeseen technical issues, or third-party outages. A delivery estimate is not a guarantee unless expressly stated otherwise in a written agreement.

Section 17

17. Revisions

Where revisions are included in a project, they must remain reasonably within the original approved scope. A revision means a modification to an existing agreed deliverable. A completely new design, feature, page, workflow, or functionality may be treated as additional work. The number of included revisions, where applicable, will be specified in the relevant quotation or proposal.

Section 18

18. Domain and Hosting

Unless expressly included in the service agreement, domain registration, hosting, SSL, premium plugins, themes, APIs, third-party subscriptions, software licenses, and other external services may be charged separately. Third-party services are subject to their own terms, pricing, availability, and policies. Risho Digitech is not responsible for third-party suspension, expiration, price changes, service outages, or policy changes.

19. Third-Party Services

Our services may involve third-party platforms, tools, APIs, hosting providers, plugins, themes, advertising platforms, payment processors, or other services (e.g. Google, Meta, WordPress, hosting, payments, analytics, cloud). Third-party services are not controlled by Risho Digitech. We cannot guarantee uninterrupted availability or continued functionality of third-party services.

Section 20

20. Payments

Clients must make payments according to the payment schedule specified in the applicable quotation, invoice, proposal, or agreement. Depending on the project, payment may be structured as advance payment, milestone payments, monthly payments, subscription payments, final payment, or other agreed arrangements. Work may be paused if required payments are not received on time.

Section 21

21. Late Payments

If a client fails to make a required payment by the agreed due date, Risho Digitech may, where appropriate: pause work, suspend access to deliverables, delay project delivery, suspend services, restrict ongoing support, or require outstanding amounts to be paid before resuming work. Any additional consequences will be subject to the applicable agreement and applicable law.

Section 22

22. Refunds and Cancellations

Refund eligibility depends on the nature of the service and the applicable quotation, invoice, service agreement, or refund policy. Because certain digital services involve time, resources, third-party costs, or work performed specifically for a client, payments may not always be refundable after work has commenced (including SEO work already performed, advertising management already performed, custom development work, design work, content creation, domain or hosting purchases, third-party licenses, completed consulting, or customized digital deliverables).

Any applicable refund terms will be communicated through the relevant service agreement, quotation, invoice, or refund policy. Where applicable law provides mandatory consumer rights, those rights will not be excluded by these Terms.

Section 23

23. Intellectual Property

Unless otherwise agreed in writing, Risho Digitech retains ownership of its: pre-existing code, frameworks, templates, internal systems, processes, methodologies, tools, reusable components, proprietary materials, and internal documentation. Upon full payment, ownership or usage rights for specifically created client deliverables will be transferred or licensed according to the applicable project agreement.

Third-party software, plugins, themes, fonts, stock images, APIs, and other licensed materials remain subject to their respective licenses.

Section 24

24. Client Intellectual Property

The client retains ownership of intellectual property that they provide to Risho Digitech, including: brand names, logos, existing content, business information, existing software, existing designs, and customer-provided materials. The client grants Risho Digitech the necessary permission to use such materials solely for providing the agreed services.

Section 25

25. Portfolio Rights

Unless restricted by a written agreement or confidentiality obligation, Risho Digitech may identify completed work as part of its professional portfolio. This may include displaying: website screenshots, project descriptions, general service information, and publicly available brand information. We will not intentionally disclose confidential information that is subject to an applicable confidentiality obligation. If a client requires a project to remain confidential, the client should communicate this requirement in writing.

Section 26

26. Confidentiality

Both parties may receive confidential information during a business relationship (business strategies, customer information, login credentials, financial information, marketing plans, technical information, source code, internal documents, or non-public business information). Each party should take reasonable steps to protect confidential information. Where a separate NDA or confidentiality agreement exists, its terms will govern the relevant confidential information.

27. Account Credentials and Access

Where clients provide login credentials or account access, such access will be used only for authorized project purposes. Clients should not provide unnecessary credentials or sensitive information. Where possible, clients should use: role-based access, temporary access, two-factor authentication, or limited permissions. Clients remain responsible for maintaining the security of accounts they control.

Section 28

28. Prohibited Content and Activities

Risho Digitech may refuse to provide services involving unlawful, fraudulent, abusive, malicious, or prohibited activities. We may decline or terminate work involving content or activities that: violate applicable law, infringe third-party rights, facilitate fraud, facilitate malware or cyber abuse, involve unauthorized access, promote illegal activities, misuse personal information, violate platform policies, or create unreasonable legal or security risks. We reserve the right to review project requirements and decline work where appropriate.

Section 29

29. Compliance With Laws

Clients are responsible for ensuring that their business, products, services, content, advertising, website, applications, and activities comply with applicable laws and regulations (advertising, consumer protection, privacy, data protection, intellectual property, e-commerce, taxation, industry-specific requirements, advertising platform policies). Risho Digitech provides digital and technology services and does not provide legal or regulatory advice unless expressly agreed through an appropriately qualified professional.

Section 30

30. No Professional Legal, Financial or Regulatory Advice

Information provided by Risho Digitech through its website, marketing materials, communications, or services should not automatically be considered legal, financial, tax, investment, medical, or regulatory advice. Clients should obtain advice from an appropriately qualified professional where necessary.

Section 31

31. Service Availability

We make reasonable efforts to provide services consistently, but we do not guarantee that: the website will always be available, services will always be uninterrupted, third-party platforms will remain available, APIs will always function, hosting will remain uninterrupted, search engine rankings will remain stable, advertising platforms will approve campaigns, or third-party software will remain compatible. Temporary interruptions may occur due to maintenance, technical problems, security issues, third-party outages, or circumstances outside our reasonable control.

Section 32

32. Disclaimer of Warranties

To the maximum extent permitted by applicable law, services and website content are provided on an “as available” and “as reasonably provided” basis. Except where expressly stated in a written agreement, Risho Digitech does not provide warranties regarding: specific SEO rankings, specific traffic, specific leads, specific revenue, specific advertising results, specific conversion rates, uninterrupted service, third-party platform availability, third-party software compatibility, or business success. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

Section 33

33. Limitation of Liability

To the maximum extent permitted by applicable law, Risho Digitech will not be responsible for indirect, incidental, special, consequential, exemplary, or punitive losses arising from the use of our website or services (loss of profits, loss of revenue, loss of business opportunities, loss of data, loss of goodwill, business interruption, or third-party platform losses).

Where legally permitted, Risho Digitech's aggregate liability relating to a specific service or engagement may be limited to the amount actually paid by the client for that specific service during the applicable period, unless a different limitation is expressly agreed in writing.

Section 34

34. Indemnification

To the extent permitted by applicable law, the client agrees to indemnify and hold harmless Risho Digitech, its personnel, contractors, and service providers from claims, losses, damages, liabilities, and reasonable expenses arising from: client-provided content, client's unlawful activities, client's violation of third-party rights, client's breach of these Terms, client's misuse of our services, client's violation of applicable laws, or unauthorized materials supplied by the client. This provision does not apply to the extent that the relevant claim was caused by Risho Digitech's own unlawful conduct or matters that cannot legally be transferred to the client.

Section 35

35. Suspension or Termination

Either party may terminate a service relationship according to the applicable agreement. Risho Digitech may suspend or terminate services where: payments remain overdue, the client materially breaches these Terms, the project involves unlawful activities, the client engages in abusive behavior, continued work creates unreasonable legal or security risks, required cooperation is not provided, or third-party requirements prevent continuation. Upon termination, the client remains responsible for approved work and amounts that became due before termination, subject to applicable agreements and law.

Section 36

36. Effect of Termination

After termination: access to certain services may stop, ongoing work may be paused, outstanding invoices may remain payable, third-party services may continue according to their own terms, confidentiality obligations may continue, intellectual property provisions may continue, liability provisions may continue, and any other provisions intended to survive termination will remain effective.

Section 37

37. Force Majeure

Risho Digitech will not be responsible for delays or failures caused by circumstances beyond our reasonable control (natural disasters, war, government restrictions, internet outages, cybersecurity incidents, major infrastructure failures, cloud service outages, hosting failures, third-party platform outages, API failures, power failures, telecommunications failures, labor disruptions, or other events beyond reasonable control). We will make reasonable efforts to resume affected services when possible.

38. Changes to Services

Risho Digitech may modify, update, discontinue, or improve services from time to time. Where a change materially affects an ongoing paid service, the applicable client agreement or applicable law will determine the relevant rights and obligations.

Section 39

39. Changes to These Terms

We may update these Terms from time to time. Changes may be made because of changes in our services, changes in technology, changes in legal requirements, changes in business practices, or improvements to our policies. The updated version will be posted on this page with a revised “Last Updated” date. Your continued use of the website after changes become effective may constitute acceptance of the updated Terms to the extent permitted by applicable law.

40. Third-Party Links

Our website may contain links to third-party websites or services. We do not control third-party websites and are not responsible for: their content, their privacy practices, their security, their availability, their terms, or their products or services. Users should review third-party terms and privacy policies before using external services.

41. Governing Law and Jurisdiction

These Terms shall be interpreted in accordance with applicable laws. Unless a separate written agreement provides otherwise, disputes relating to the services or these Terms will be subject to the applicable jurisdiction and courts determined under the laws governing the relevant Risho Digitech business entity and transaction. Mandatory rights available to consumers or users under applicable law will not be excluded by this clause.

42. Dispute Resolution

If a dispute arises, both parties should first attempt to resolve the matter through good-faith communication. The parties may discuss: the nature of the dispute, relevant project documents, payments, deliverables, scope, and proposed resolution. Where appropriate, the parties may mutually agree to mediation, arbitration, or another dispute-resolution mechanism.

43. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue to apply to the extent permitted by law.

Section 44

44. Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

45. Entire Agreement

These Terms, together with any applicable quotation, proposal, invoice, service agreement, statement of work, NDA, or written project confirmation, form the applicable agreement between Risho Digitech and the client regarding the relevant services.
